1. Agreement to Terms

By accessing or using Empire ("Service"), operated by Empire ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service. We may modify these Terms at any time; we will provide notice of material changes (e.g., by email or in-app notice). Continued use after the effective date of changes constitutes acceptance. It is your responsibility to review the Terms periodically.

2. Account and Eligibility

You must be at least 18 years old and capable of forming a binding contract. You must provide accurate and complete registration information and keep it current. You are responsible for all activity under your account and for maintaining the confidentiality of your credentials. You must notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms or for other operational or legal reasons at our sole discretion.

3. Use of the Service

Paid plans are billed according to the pricing and billing cycle you select. Fees are non-refundable except as required by law or as explicitly stated in our refund policy. We may change fees with reasonable notice; continued use after a fee increase constitutes acceptance. You authorize us (or our payment processor) to charge your payment method for all fees. Failure to pay may result in suspension or termination of access. Taxes are your responsibility unless we are required to collect them.

5. Your Content and Data

You retain ownership of content and data you submit to the Service ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free license to use, store, process, display, and transmit Your Content as necessary to provide, improve, and secure the Service and to comply with law. This includes the right to use aggregated and de-identified data. You are solely responsible for Your Content and represent that you have all rights needed to grant the above license. We may remove content that violates these Terms or that we otherwise deem inappropriate.

6. Our Intellectual Property

The Service, including its design, features, code, and materials we provide (excluding Your Content), is owned by us or our licensors and is protected by intellectual property laws. You receive no ownership rights in the Service. You may not copy, modify, or create derivative works of our service or materials without our prior written consent. Our names, logos, and trademarks may not be used without permission.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE ARE NOT RESPONSIBLE FOR THE CONTENT, CONDUCT, OR DATA OF USERS OR THIRD PARTIES. YOU USE THE SERVICE AT YOUR OWN RISK.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EMPIRE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL) ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

9. Indemnification

You agree to indemnify, defend, and hold harmless Empire and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) Your Content, (c) your violation of these Terms or any law, or (d) your violation of any third-party rights. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense.

10. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for violation of these Terms, non-payment, or for our business or legal reasons. Upon termination, your right to use the Service ceases. We may retain your data for a reasonable period for backup, legal compliance, and dispute resolution, after which we may delete it. Sections that by their nature should survive (including disclaimers, limitation of liability, indemnification, and governing law) will survive termination.

11. General

These Terms constitute the entire agreement between you and Empire regarding the Service and supersede prior agreements. Our failure to enforce any right or provision does not waive that right or provision. If any provision is held invalid, the remaining provisions remain in effect. You may not assign these Terms without our consent; we may assign them without restriction. These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction there. Nothing in these Terms creates a partnership, joint venture, or employment relationship.
